LEGAL COUNSEL
Allround company, corporate law & commercial contracts
Based: South Holland (NL)
As legal counsel, you play an important role in advising both the business and operations on various legal matters. Among other things, you will participate in the tender process and advise on contractual matters. You will also advise and work on setting-up legal structures and the purchase, sale, M&A and compliance.
Based in the Netherlands, the Legal Department (ca. 5 fte) is responsible for all legal matters globally.
As Legal Counsel you will:- provide legal support on various legal aspects relevant to the business and operation
- review tender documents and provide legal guidance in contract negotiations
- prepare corporate documents such as minutes of board and shareholder meetings, shareholder agreements, and powers of attorney for general purposes and transactions
- initiate and set-up new legal structures and new (local) entities, amend existing structures
- guide and assist on sales and purchases
- provide legal support in case of disputes, recovery and settlement of claims, litigation, and actively manage legal proceeding and external advisors
- support contract lifecycle management, provide internal training, initiate standardization of legal processes, draft legal models, templates, policies on (for example) compliance
- identify and monitor relevant developments in the field of legislation, regulations and case law
- completed a bachelor and a master’s degree in law
- demonstrable relevant work experience as a legal counsel in an international setting, preferably the maritime and/or oil and gas industry or other relevant work experience
- knowledge of and experience with international contract law, corporate law, and preferably also with claim handling and (maritime) insurances
- critical, analytical thinking with a positive attitude
- a pro-active, hands-on problem-solving mentality, seeking opportunities for improvement
- team player with an eye for legal risks versus business interests
- good communication and organizational and stakeholder management skills
- flexible and capable of handling multiple tasks and prioritize work in a dynamic environment
- fluent in English (both written and verbal)
You must be eligible to work in the Netherlands.
