ING is looking for an energetic, diligent and pragmatic Legal Counsel to strengthen the Corporate Legal team. As a part of the Corporate Legal Affairs department, this role is at the very heart of ING and offers a exposure to a combination of legal and corporate governance matters.
The Corporate Legal team
The Corporate Legal team consists of 12 legal counsels and is a part of the Corporate Legal Affairs department. The team operates in a highly dynamic, international and stimulating environment and collaborates with a wide variety of departments on all levels and in all geographies within ING. Within this context, the Corporate Legal team is responsible for providing concise, comprehensive legal advice on Dutch corporate law and corporate governance related matters such as M&A, intra-group restructurings, shareholders' meetings, annual reports, D&O and professional liability coverage.
Roles and responsibilities
In this role, you will:
stay updated on Dutch corporate law and governance developments to provide pro-active guidance on their impact and execution;
structure and incorporate to the point legal advice for a variety of stakeholders in a way that allows for informed (commercial) decision-making;
provide (creative) options and alternatives where possible;
provide legal support to (internal and external) M&A and investment transactions;
help managing the corporate legal/governance programmes to ensure compliance with laws and regulation and to enhance management of ING's legal structure; and
collaborate closely with colleagues, emphasizing knowledge sharing and teamwork.

Required skills and experience:
a master's degree in Dutch law with a focus on corporate law;
a minimum of 5 years of proven, legal working experience with corporate law, corporate governance and M&A;
experience in a regulated and international commercial organisation and/or a law firm is an advantage;
experience in insurance law (directors & officers liability) is a plus;
excellent English and Dutch communication skills both spoken and written;
has the ability to interpret complex laws and regulations and translate those into clear, practical guidance to the business;
is socially skilled and acts as a problem-solver;
can perform under pressure, prioritise and quickly navigate amongst several topics;
is capable of building and maintaining relationships with other departments in a dynamic and complex environment.
