Are you an entrepreneurial company lawyer, with a hands‑on mindset? Our ClientEuroCTP is a Dutch company which aims to facilitate access to EU real time market data for equities and ETFs. To do so, they are building a reliable, compliant real time consolidation of EU market data, attached with related services designed for and with the market community.
EuroCTP is participating in the selection process for the provision of a consolidated tape (CT) for equities and ETFs in the European Union run by the European Securities and Markets Authority (ESMA). Its shareholders are 16 European exchanges and exchange groups, operating regulated markets in 27 EU countries (see the company’s website for additional information).

Acting as Corporate Secretary, you will ensure governance processes and documentation are properly maintained The PositionAs Senior Legal Counsel & Corporate Secretary, you will be responsible for managing and professionalizing legal and corporate governance. Amongst others, you will advise the Management Team and Supervisory Board on legal and governance matters, oversee contract and legal risk management, and support compliance with regulatory requirements. Acting as Corporate Secretary, you will ensure governance processes and documentation are properly maintained.
You will report directly to the Head of Finance, Legal and Regulatory Affairs, and work closely with the CEO, CTO, and Head of Risk & Compliance. The role requires a strong legal background in commercial law and/or IT/IP law, experience in corporate governance, and a pragmatic, business‑oriented mindset.
Key Responsibilities- Draft, review, and negotiate contracts;
- Provide proactive legal advice to the management team and Supervisory Board;
- Monitor applicable laws and regulations;
- Manage legal risks and liaise with external counsel as needed;
- Organize Board and committee meetings, draft minutes and resolutions; and
- Maintain statutory registers and ensure timely filings and disclosures.
- Qualified lawyer with at least 5+ years’ relevant experience in an international law firm, multinational company, or regulator – with exposure to commercial law, IP/IT, and corporate governance matters;
- Expertise in Dutch corporate law and commercial contracting (knowledge of market data, indices, and trademarks is a plus);
- Strong analytical and problem‑solving skills with a pragmatic approach;
- Excellent communication skills in English; Dutch is a plus;
- Entrepreneurial, hands‑on, and able to build strong relationships with stakeholders.
