What will you be doing?
Our SPA Advisory team provides specialised support in all financial aspects of SPA work. Our clients seek our advice on identifying and negotiating the key value items in the EV-to-equity value bridge, as well as drafting the accounting and financial clauses of the SPA, reflecting their negotiated outcomes. We support clients in the process leading up to the signing of SPA, and also thereafter, in the closing accounts, earn-out determination, or leakage review process leading up to the determination of the final purchase price for the transaction.

You are able to prepare financial analyses: to identify, quantify and substantiate value items relevant for our client's EV-to-equity value bridge and purchase price negotiations.

You are able to leverage existing analyses: prepared by other advisers for the transaction, including due diligence reports, information memoranda, etc.

You are able to contribute to the drafting and mark-up of the financial aspects of the SPA: to ensure the purchase price mechanism is appropriately drafted (including the definition of its components, the principles and policies to be applied for its preparation, the steps and timeline of the process to be followed for its final determination), due diligence observations and recommendations based on our financial analyses are included, and our client is appropriately protected by the warranties and indemnities.

You are able to provide post-transaction support to clients: for the preparation or review of completion accounts, earn out mechanisms, leakage reviews, and support on disputes on purchase price adjustments.

You are being a trusted advisor and strong communicator: working closely with clients, due diligence teams, investment banks, lawyers, and other deal advisors to optimise value and mitigate risk for clients.

You are building relationships: with clients, other advisers, the other PwC Deals project teams etc to identify and develop business opportunities.
Skills and experience

You have studied Accounting, Finance, Business Administration or (Business) Economics at a university, supplemented by a completed RA, RC, ACCA (or similar) or CFA (level 3) program,

Minimum 3 years professional experience, preferably in professional services,

Experience in a transaction and/or audit environment (e.g. At an accounting firm, investment bank or boutique advisory) is a plus;

You are passionate about client service and have commercial awareness,

Strong knowledge of how financial statements work and an understanding of the relationships across balances, cash-flows and earnings;

Interest in understanding businesses and value drivers;

Agility to work with and move between numerical analyses and written documents (e.g. Reports, contracts);

Strong analytical skills, an ability to grasp complex issues and explain them clearly and articulately, particularly to a senior audience;

Excellent interpersonal, verbal and written communication skills;

Strong organisational and project management skills;

Excellent time management, being able to work (sometime simultaneously) with multiple clients and related internal and external stakeholders;

Proficiency in Excel. PowerBI and more advance data analytics skills are a definite plus.
