How our sorting works

The order in which job vacancies are displayed is determined by a composite score based on the following factors:

  • Keyword Relevance: How well your search terms match the vacancy details. We prioritize matches found in the job title, followed by job requirements, location names, and educational levels. Matches within general employer information or the organization's name carry a lower weight.
  • Commercial Prioritization (Premium Jobs): Vacancies paid for by employers ('Premium' or 'Sponsored') receive a ranking boost and will appear higher in the search results.
  • Recency (Date Relevance): Newer vacancies are prioritized. The relevance score of a vacancy is reduced by half once the posting is older than 30 days.
  • Proximity (Distance Relevance): Vacancies located closer to your search location are ranked higher. For vacancies located more than 30 km from the search center, the relevance score is halved.
The final ranking is established by multiplying all these individual factors to calculate the total relevance score.

    Job description

    Bruin is exclusively partnering with a highly regarded international insurance group to appoint a Group Company Secretary.


    As a trusted adviser on governance, corporate structure and regulatory matters, you will lead the Group's company secretarial function and play a key role in supporting strategic decision-making, business growth and governance best practice across an international organisation.

    This is a highly visible position with significant influence, offering the opportunity to shape governance frameworks, support Board effectiveness and work closely with senior stakeholders across multiple jurisdictions.


    The Role

    • Act as principal adviser to the Board and Executive Management on corporate governance matters.
    • Lead the ongoing development and enhancement of the Group's governance framework, policies and procedures.
    • Oversee Board and Committee processes, including agendas, board papers, minutes, resolutions and action tracking.
    • Provide governance and procedural guidance to directors and senior stakeholders.
    • Support Board effectiveness reviews, governance initiatives and director development programmes.
    • Take ownership of the governance and administration of a substantial international portfolio of legal entities, ensuring robust corporate governance, regulatory compliance and effective entity management across the Group.
    • Ensure compliance with statutory, regulatory and corporate governance requirements across multiple jurisdictions.
    • Oversee company formations, restructurings, rationalisations and other corporate transactions across the Group.
    • Maintain strong relationships with regulators, external advisers, auditors and corporate service providers.
    • Lead governance best practice initiatives and identify opportunities for continuous improvement.


    The Successful Candidate

    We are keen to hear from experienced Company Secretaries and governance professionals who can demonstrate:

    • Significant Company Secretarial and corporate governance experience within a regulated environment.
    • Strong knowledge of corporate governance frameworks, company law and entity management.
    • Extensive Board and Committee support experience.
    • Experience operating across multiple jurisdictions and complex corporate structures.
    • A proven track record of drafting high-quality board papers, minutes, resolutions and governance documentation.
    • Experience supporting regulatory filings, corporate transactions and corporate restructurings.
    • Excellent stakeholder management, communication and influencing skills.
    • Strong organisational and project management capabilities, with the ability to manage competing priorities.
    • The confidence and credibility to engage with Board members and senior executives.
    • CGI qualification (or equivalent) would be highly advantageous.
