Assistant Company Secretary
Location: Staffordshire
Salary: £70,0000 - £75,000 (depending on experience)
Permanent, Full-time (part-time can be considered)
About the Role
We are working with a leading global business services organisation to appoint an Assistant Company Secretary. This is a pivotal governance role, supporting the Company Secretary and executive leadership in ensuring compliance with regulatory obligations, and best-practice corporate governance.
You will play a key part in board and committee operations, statutory filings, and entity management, while gaining exposure to senior stakeholders across the business.
Key Responsibilities:
- Board & Committee Support: Prepare agendas, collate board papers, take minutes, and track action items for Board, Audit, Risk, and Remuneration Committees.
- Statutory Compliance: Maintain statutory registers, file documents with Companies House, and ensure compliance and relevant regulatory requirements.
- Governance & Entity Management: Support group entity administration, maintain corporate structure charts, and assist with entity management systems
- Insurance Renewals: Acts as liaison between insurance brokers and the business; reviews and manages renewal cycles across multiple insurance lines; largely BAU but with busy seasonal periods
- Shareholder Scheme Coordination: Processes issuances and departures under the share scheme; updates regulatory files; notifies relevant parties when participants join or leave;
- Stakeholder Liaison: Work closely with the CFO, Company Secretary, Directors, auditors, and legal counsel
- Continuous Improvement: Contribute to governance process enhancements and leverage digital tools for efficiency
About You
- Qualifications: Degree in Law, Business, or Governance; ICSA/CGI qualification (or working towards) highly desirable.
- Experience in a company secretarial, legal, or governance role
Skills & Attributes:
- Strong understanding of the Companies Act 2006 and corporate governance principles.
- Excellent organisational skills with exceptional attention to detail.
- Confident handling sensitive and price-sensitive information
- Strong written and verbal communication, with the ability to engage senior stakeholders.
- Collaborative, proactive, and able to manage multiple priorities autonomously
