How our sorting works

The order in which job vacancies are displayed is determined by a composite score based on the following factors:

  • Keyword Relevance: How well your search terms match the vacancy details. We prioritize matches found in the job title, followed by job requirements, location names, and educational levels. Matches within general employer information or the organization's name carry a lower weight.
  • Commercial Prioritization (Premium Jobs): Vacancies paid for by employers ('Premium' or 'Sponsored') receive a ranking boost and will appear higher in the search results.
  • Recency (Date Relevance): Newer vacancies are prioritized. The relevance score of a vacancy is reduced by half once the posting is older than 30 days.
  • Proximity (Distance Relevance): Vacancies located closer to your search location are ranked higher. For vacancies located more than 30 km from the search center, the relevance score is halved.
The final ranking is established by multiplying all these individual factors to calculate the total relevance score.

    Our client is a renowned international organisation with a broad portfolio of strategic investments, partnerships and joint ventures spanning multiple global markets. The function plays a critical role in supporting long-term business growth by managing strategic relationships, protecting shareholder value and ensuring robust governance across a diverse portfolio of international entities.


    An exciting opportunity has arisen for an experienced governance professional to join the organisation on a permanent basis. This position will lead governance activities across the division, ensuring that appropriate governance, risk and compliance frameworks are in place to support effective oversight and decision-making.


    Working closely with executive leadership, Board members and senior stakeholders, the successful candidate will provide strategic governance advice, oversee company secretarial activities and help strengthen governance practices across a complex international portfolio.


    Key Responsibilities

    • Lead the development, implementation and ongoing enhancement of governance arrangements across the Investments division and its portfolio of subsidiaries, investments and joint ventures.
    • Serve as a trusted adviser to senior executives and directors, providing guidance on governance matters, statutory obligations and governance best practice.
    • Partner with Legal, Risk, Compliance and Internal Audit teams to develop and enhance the Investments division's governance, risk and control framework.
    • Support the implementation of risk management and compliance initiatives across the Investments business.
    • Embed consistent governance standards and support effective decision-making across the investment portfolio.
    • Drive improvements to governance policies, processes and controls to ensure they remain fit for purpose and aligned with evolving business needs.
    • Provide Company Secretarial support to designated legal entities, including organising Board and Committee meetings, preparing agendas and papers, recording minutes and ensuring timely completion of governance actions.
    • Ensure Board members receive appropriate governance support, enabling effective operation of Boards and Committees.
    • Oversee governance approvals, delegated authority processes and the maintenance of statutory records.
    • Provide governance oversight across an international portfolio of investments and joint ventures, ensuring governance arrangements remain effective across different jurisdictions.
    • Support and advise organisation-appointed directors serving on joint venture Boards, including delivering inductions, governance guidance and ongoing support.
    • Review Board papers and provide governance insights and briefings to investor representatives ahead of meetings.
    • Coordinate director appointments, resignations and other governance changes across the investment portfolio.
    • Provide guidance on directors' responsibilities and directors' and officers' liability matters.
    • Monitor compliance with relevant legislation, corporate governance standards and internal governance requirements.
    • Promote a culture of strong governance, accountability and effective risk management throughout the Investments division.
    • Develop strong relationships with Executive Committee members, Board Directors and senior leaders, acting as a trusted governance partner.


    Skills & Experience

    • Qualified Company Secretary
    • Significant experience advising Boards, Board Committees and executive leadership teams on governance matters.
    • Demonstrable experience operating within sophisticated international corporate structures involving subsidiaries, joint ventures and strategic investments.
    • Strong understanding of governance frameworks supporting multinational businesses with operations across multiple jurisdictions.
    • Proven ability to build credibility with senior stakeholders and influence decision-making at Board and executive level.
    • Experience leading governance enhancement programmes and implementing improved governance frameworks.
    • Sound understanding of enterprise risk management, governance and assurance practices.
    • Experience supporting corporate transactions, restructurings and organisational change.
    • Familiarity with governance management systems such as Diligent Entities or equivalent platforms.

Above all, you will demonstrate integrity, discretion and a genuine commitment to promoting high standards of governance and corporate accountability.
