Company Secretarial & Corporate Governance Counsel – Insurance sector
Our client is one of the largest global life and health reinsurance companies in the world, with operations in 26 countries.
The EMEA legal team is headquartered in the City of London and provides full legal support across the jurisdiction. An opportunity has arisen for a legal counsel to join this dynamic team to support on a wide range of legal, co sec and governance issues.
The role will primarily focus on company secretarial matters and corporate and regulatory governance. These issues have previously been handled by various members of the legal team, but the desire is to pull it all together and improve the polices, processes and procedures. The role will also require involvement in M&A issues, assisting on matters including corporate structure and reorganisations. This is a great opportunity for somebody to take control and have some influence in these areas.
You will work closely with business teams such as finance, marketing and business development as well as colleagues in other jurisdictions to execute this multi-faceted role. You will be required to liaise with senior stakeholders, including Directors, so you must be confident in your knowledge and ability to influence others.
We are seeking a solicitor who is admitted to practice law in England & Wales and must have at least 5 years PQE, which could have been gained either in private practice or in-house. It is essential that you have the company secretarial skills and although it would be extremely advantageous if you have worked in an insurance setting other regulated environments and sectors will also be considered.
To thrive in this role, you must be able to demonstrate strong negotiation and drafting skills and be willing to pick up new matters. You should be motivated, well-organised, be able to multi-task and happy to work independently as well as part of a team. The ability to display initiative, take responsibility and win the trust of your peers is also necessary. You will be joining a small, high calibre, friendly and fully supportive team and you will be given the chance to learn and grow.
