We are actively seeking M&A lawyers with the following credentials:
- 4–10+ years’ post‑qualification experience, with opportunities available from junior through senior levels.
- Qualified to practice as a UK solicitor or equivalent EU/overseas qualification.
- Law degree from a Russell Group university or other bachelor’s degree with a law conversion course.
- Experience in Energy and Pharmaceutical/Life Sciences sectors is advantageous but not required.
- Interest in practicing in an alternative, fixed‑term legal services model, supporting industry‑leading clients with sophisticated interim talent needs.
Support our corporate clients on the following matters:
- Supporting the full M&A deal lifecycle, including deal review, due diligence, negotiation, signing, and closing.
- Reviewing commercial contracts, corporate records, and ancillary documents as part of legal due diligence.
- Identifying change‑of‑control, consent, assignment, and termination issues.
- Reviewing and assisting with drafting of transaction documents, including purchase agreements, merger agreements, and disclosure schedules.
- Supporting contract negotiation and pre‑deal assistance under the direction of lead counsel or in‑house teams.
- Tracking merger agreement obligations, conditions precedent, and closing deliverables.
- Dynamic project work that varies in length and may be conducted remotely or onsite, depending on client needs.
