Emilia and I have partnered with a leading technology group in Reading who are seeking an experienced Company Secretary for a newly created role.
As the Company Secretary, you will be responsible for shaping and embedding a high‑performing governance culture across the group. You’ll ensure that the Board and Board Committees operate with excellence, transparency, and strategic impact.
You will work closely with senior leaders, shareholders, and Board members, overseeing critical compliance functions including data privacy, competition law, anti‑bribery, and regulatory obligations. You will also lead and develop a talented team of two governance and compliance professionals.
This is a unique opportunity to influence business decisions at the highest level, while driving continuous improvement in governance maturity, risk management, and organisational compliance.
Key Responsibilities
- Lead and manage all Board and committee governance processes, including agendas, papers, decision logs, and action tracking.
- Provide expert guidance to the General Counsel on corporate governance matters.
- Oversee governance of the Boards and ensure regulatory and competition law compliance.
- Develop and deliver effective compliance training, policies, and frameworks aligned with legal and ISO standards.
- Manage governance platforms and support Board performance reviews and director induction.
- Maintain accurate governance records, including the Gift Register.
- Foster a strong internal compliance culture across the organisation.
- Scan the regulatory environment and advise on impacts and required actions.
- Lead, coach, and develop two direct reports.

- Strong Company Secretary / corporate governance expertise.
- Experience managing Boards, Board committees, and senior stakeholders.
- Knowledge of key compliance and legal areas including GDPR, competition law, and anti‑bribery.
- Excellent communication, relationship‑building, and influencing skills.
- A proactive, organised, detail‑driven approach with the ability to manage competing priorities.
- Demonstrated ability to lead, manage, and develop a small team.
- Digital savvy and experience with governance technology platforms.
