Carlyle AlpInvest is looking for a Senior Legal Counsel with 6–8 years of qualified experience. The role is based in Amsterdam and supports deal teams in Amsterdam, London, and Hong Kong with primary, co‑investment, and secondary transactions. The Senior Legal Counsel will provide legal support on secondary, co‑investment and primary investments, maintain the outsourcing register, negotiate distribution agreements, and advise on day‑to‑day legal matters.
Key Job Functions- Deal Related Responsibilities (70% of time)
- Review and negotiate transaction documentation including purchase and sale agreements, contribution agreements, limited partnership agreements, credit agreements and side letters with outside counsel.
- Provide guidance to deal teams on legal and business issues and deal structures.
- Review term sheets and bid letters.
- Respond to AML/KYC requests.
- Coordinate with Investment Accounting, Cash Management, Compliance and Portfolio & Risk Analysis teams to consummate deals.
- Assist with fund formation process for co‑ and/or secondary investors on an ad‑hoc basis.
- Manage external counsel.
- General Corporate Responsibilities (15% of time)
- Maintain existing investments (e.g., review requests for consent, election notices and amendment requests).
- Assist with advising internal groups on legal questions regarding AlpInvest managed funds and SMAs.
- Assist with regulatory (competition) filings.
- Review and negotiate third‑party contracts including confidentiality agreements and non‑reliance letters.
- Specific Responsibilities (15% of time)
- Assist with annual account filings for Dutch BV entities through EY web portal.
- Keep record of all outsourcing agreements and relationships of AlpInvest Partners B.V. In an outsourcing register.
- Negotiate contracts to be entered into with delegates of AlpInvest Partners B.V.
- Assist with negotiation and record keeping of distribution agreements for ongoing fundraising of Luxembourg SICAVs targeting retail investors.
- Assist with DORA compliance matters where needed.
- Master’s Degree in Private or Corporate Law.
- Admitted to Dutch Bar (preferably) or Luxembourg Bar or equivalent.
- Minimum of 6–8 years of qualified experience at an international law firm (preferably The Netherlands or Luxembourg) or an asset firm with broad experience in M&A, general corporate law, and contract and regulatory law in those jurisdictions.
- Experience with secondary transactions (preferably) and primary (fund) investments, co‑investments, and an excellent understanding of basic Dutch contract law.
- Basic understanding of the regulatory framework (AIFMD) in The Netherlands and (preferably) Luxembourg.
- Strong analytical and negotiation skills.
- Excellent communication and stakeholder management.
- Ability to work independently and collaboratively within a small legal team.
- Detail‑oriented with a proactive approach to risk mitigation.
The compensation range is tailored to the Amsterdam market and considers skills, experience, licenses and certifications.
