(Associate) Director – M&A, Restructuring & Debt Advisory

About the OpportunityOur client is a fast-growing international advisory firm operating at the intersection of M&A, Restructuring, and Private Debt Advisory, with a strong presence across the UK, Europe, and Asia-Pacific.
The firm advises entrepreneurial, sponsor-backed, and mid-market companies on complex corporate finance situations, including strategic M&A transactions, balance sheet restructurings, refinancings, and bespoke debt solutions.
As part of the continued build-out of its continental European platform, the firm is strengthening its Amsterdam-based team with a senior hire who will complement existing coverage by bringing strong M&A and restructuring capabilities, while also contributing to debt advisory execution where relevant.
The role sits within a collaborative European team structure, working closely with colleagues across Europe, UK and Asia.
Role OverviewWe are seeking a senior investment professional with a primary focus on M&A and Restructuring, supported by a solid understanding of debt advisory and capital structure solutions.
The role combines transaction execution and client-facing advisory work, with increasing involvement in origination and relationship development over time. The successful candidate will advise clients across sell-side and buy-side M&A, distressed or underperforming situations, refinancing scenarios, and liability management, often in coordination with private credit providers.
This position is ideal for an individual who enjoys operating across strategic, financial, and execution-driven mandates, and who is comfortable navigating complex stakeholder environments involving shareholders, lenders, management teams, and legal advisors.
Key ResponsibilitiesTransaction Execution (c. 70%)
- Execute M&A transactions, including sell-side and buy-side mandates for mid-market and entrepreneurial businesses.
- Advise on restructuring and special situations, including refinancing, balance sheet reorganisations, covenant resets, and liquidity solutions.
- Support and execute debt advisory mandates, including acquisition financing, refinancing, and structured debt solutions, in collaboration with specialist colleagues.
- Perform detailed financial analysis, including valuation, cash flow analysis, scenario modelling, and capital structure assessments.
- Coordinate transaction processes, including preparation of information memoranda, financial models, lender materials, and management presentations.
- Manage transaction workflows and stakeholders, including clients, investors, lenders, lawyers, and internal teams.
Origination & Client Development (c. 30%)
- Contribute to the origination of new mandates through existing networks, intermediaries, sponsors, and collaboration with internal sales and marketing teams.
- Participate in client pitches and mandate-winning processes, particularly where M&A and restructuring expertise is required.
- Build and maintain long-term relationships with founders, CFOs, shareholders, private equity sponsors, and professional advisers.
- Support the development of cross-product opportunities, bundling M&A, restructuring, and debt advisory solutions for clients.
- Contribute to market visibility and personal brand development, supported by the firm’s marketing platform.
Experience & Background
- 7–15+ years of relevant experience in M&A advisory, restructuring, investment banking, corporate finance, or related advisory roles.
- Proven track record in executing M&A transactions and/or restructuring or special situations mandates.
- Solid exposure to debt financing and capital structures, with the ability to advise clients on financing implications alongside strategic transactions.
- Experience advising mid-market, entrepreneurial, or sponsor-backed businesses is strongly preferred.
- Familiarity with multi-stakeholder and cross-border transaction environments.
- Strong financial modelling, valuation, and analytical capabilities.
- Commercial mindset with the ability to combine strategic insight and hands-on execution.
- Excellent communication and negotiation skills; credible at C-level and investor level.
- Comfortable operating in complex, time-sensitive, and occasionally distressed situations.
- Team-oriented, collaborative, and capable of working within a flat advisory structure.
- Bachelor’s or Master’s degree in Finance, Economics, Business, or a related field (required).
- CFA, Chartered Accountant, or equivalent qualification is advantageous but not essential.
- Fluency in Dutch and English is essential.
- A senior advisory role within a scaling international platform.
- Exposure to a broad mix of M&A, restructuring, and (private) debt advisory mandates.
- Close collaboration with experienced colleagues across Europe, UK and Asia.
