Our client is a leading European private equity firm with operations across multiple jurisdictions.
To strengthen its legal team, the organisation is looking for a Legal Counsel – Funds, to focus on fund related legal, regulatory, and compliance matters in a dynamic, international environment.
Key responsibilities:As Legal Counsel – Funds in this company, your tasks will include, but will not be limited to:
Fund & Legal Work- Support fund formation, restructurings, secondary transactions, carried interest and employee participation structures
- Review and negotiate LPAs, PPMs, side letters, subscription documents, capital calls and distributions
- Advise investment teams on fund documentation and structures
- Coordinate regulatory filings and liaise with supervisory authorities
- Help ensure compliance with AIFMD, SFDR, AML/KYC, GDPR and other EU fund regulations
- Track regulatory developments and assess their impact
- Maintain policies, registers, and internal procedures
- Support investor and LP due diligence, audits, depositary and regulatory reviews
- Manage external legal and notarial advisers
- Master’s degree in law
- 3-6 years’ experience in a top tier law firm, asset manager or private equity environment
- Solid experience with fund structuring and European fund regulation
- Strong knowledge of Dutch AML laws (Wwft), EU AML Directives, Market Abuse Regulations, sanctions, PEP, AIFMD.
- Profound knowledge of Dutch and English.
